These Terms of Service ("Terms") govern your access to and use of the website www.wefaqlaw.com (the "Website"), which is operated by Wefaq Law Firm ("Wefaq", "the Firm", "we", "us", "our"). By accessing or using the Website you agree to these Terms. If you do not agree, please do not use the Website.
1. The Firm
Wefaq Law Firm is a law firm established in the State of Kuwait, with its offices at Sharq, Block 4, Al-Shuhada Street, Building 32, Floor 11, Office 33, Kuwait City, State of Kuwait. Our lawyers are admitted to practise before the Kuwaiti courts and enrolled in accordance with Law No. 42 of 1964 regulating the profession of advocacy before the courts, as amended. The Firm's founder is also registered as a foreign lawyer with the Solicitors Regulation Authority of England and Wales.
2. Information only, not legal advice
The content of the Website, including articles, blog posts, news items, and descriptions of our practice areas, is provided for general information only. It does not constitute legal advice, is not intended to be exhaustive, and may not reflect the most recent legal developments. You should not act, or refrain from acting, on the basis of any content on the Website without obtaining advice from a qualified lawyer on your specific circumstances.
3. No lawyer and client relationship
Your use of the Website, and the submission of an enquiry through it, does not create a lawyer and client relationship between you and the Firm. Such a relationship is established only by a written engagement letter signed by the Firm. Until we have confirmed in writing that we are able to act for you:
• please do not send us confidential or sensitive information, as unsolicited information may not be treated as confidential or privileged beyond what applicable law requires;
• we will not have carried out a conflict of interest check in relation to your matter; and
• the submission of an enquiry does not suspend or interrupt any limitation, prescription, or other procedural period applicable to your rights or claims, and you remain solely responsible for protecting your rights within the deadlines prescribed by law.
4. Engagements and fees
All engagements are governed by the terms of the relevant engagement letter, including the scope of work, the applicable fees, whether fixed, hourly, capped, or otherwise, and the billing and payment arrangements. In the event of any conflict between these Terms and an engagement letter, the engagement letter prevails in respect of the relevant matter.
5. Templates
5.1 Scope and acceptance. Through the Templates section of the Website (www.wefaqlaw.com/templates), the Firm offers standard legal document templates and their accompanying guides (the “Templates”) for purchase and immediate digital download. By purchasing, downloading, or using any Template you accept this clause 5, which applies in addition to the rest of these Terms and prevails over them in the event of any conflict relating to the Templates.
5.2 Nature of the Templates; no legal advice. The Templates are legal information products: model documents drafted to be consistent with Kuwaiti statutes in force as at the date stated on each Template and intended to be adapted by the user for routine commercial and employment matters in the State of Kuwait. They have not been drafted with reference to your specific facts, business, counterparties, or transaction, and they do not constitute legal advice. The purchase, download, or use of a Template does not create a lawyer and client relationship with the Firm or any of its lawyers, and creates no duty of confidentiality or other professional obligation. If you require advice on a specific matter, you should engage a lawyer under a formal engagement letter.
5.3 Licence. Upon payment of the applicable fee (or, for free Templates, upon download), we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to: (a) download, modify, complete, and execute the Template as a contract between your business and one or more counterparties; (b) retain copies of the Template on your business systems; and (c) share the completed Template with the parties to that contract, their legal advisers, and any court or authority before which it is filed. The licence does not permit you to: (a) resell, redistribute, sublicense, or otherwise make the Template available to any third party as a template, sample, or standalone document; (b) publish the Template, in whole or in substantial part, on any website, repository, platform, or publication; (c) use the Template for the benefit of a business other than your own or businesses you control; (d) remove or alter any copyright notice or attribution; or (e) use the Template in providing legal services to third parties. All rights not expressly granted are reserved.
5.4 Updates. If you purchase a Template, you are entitled to receive any revisions issued to that Template during the twelve (12) months following your purchase at no additional cost. We will use reasonable endeavours to notify you by email of any revision, but we do not warrant that all notifications will reach you. After that period, continued use of the Template is at your own risk, and revisions are made available only on payment of any applicable fee.
5.5 Refunds. Because the Templates are digital products delivered immediately upon payment and capable of being used and copied as soon as delivered, all sales are final and no refunds are offered. The free Mutual Non-Disclosure Agreement is made available without charge so that you may assess the quality and style of the drafting before purchasing any paid Template.
5.6 Complimentary consultation (full bundle). A purchaser of the full bundle is entitled to one (1) complimentary consultation of up to one (1) hour, provided in person or online, to be arranged within a reasonable period after purchase. The consultation provides general guidance only and does not, by itself, create a lawyer and client relationship; any specific engagement requires a separate signed engagement letter.
5.7 Amendments and customisation. The licence covers use of a Template as supplied. Any amendment or modification you request, or any document tailored to a specific business, transaction, or matter, is a separate service provided at additional cost (custom drafting), on the terms of a separate engagement.
5.8 Disclaimer, responsibility, and limitation of liability. The Templates are provided on an “as is” and “as available” basis. To the maximum extent permitted by law: we make no representations and give no warranties of any kind in relation to the Templates, including fitness for a particular purpose, suitability for a specific transaction, accuracy, completeness, or that a contract executed on the basis of a Template will be valid, enforceable, or sufficient to protect your interests in any dispute; we accept no legal responsibility or liability for any use of, or reliance on, the Templates; and you assume full responsibility for adapting them to your circumstances and for seeking independent legal advice where appropriate. Our total aggregate liability in connection with the Templates shall in no event exceed the total amount you paid for the Template or Templates giving rise to the claim; nothing in these Terms excludes or limits liability for fraud or any other liability that cannot lawfully be excluded or limited. The clauses of these Terms headed “Disclaimer” and “Limitation of liability” apply to the Templates as they apply to the Website.
6. Intellectual property
The Website and its content, including text, articles, graphics, logos, and design, are owned by or licensed to the Firm and are protected by the applicable intellectual property laws of the State of Kuwait. You may view, download, and print content from the Website for your personal, non-commercial use, and you may share links to the Website. Any other reproduction, republication, or distribution of the content requires our prior written consent. Articles and publications may be quoted with proper attribution to the Firm. The Wefaq name and logo are marks of the Firm and may not be used without our prior written consent. Nothing in this clause limits the licence expressly granted to purchasers of Templates under the clause of these Terms headed “Templates”.
7. Acceptable use
You agree not to:
• use the Website for any unlawful purpose or in breach of any applicable law or regulation;
• attempt to gain unauthorised access to the Website, its servers, or any connected systems, or interfere with their proper operation;
• introduce viruses or other malicious code, or carry out scraping, harvesting, or other automated extraction of content or data; or
• misrepresent your identity or your affiliation with any person or organisation when using the Website.
8. Publications and legal updates
Articles, blog posts, and news items reflect the position at their date of publication and are not updated to reflect subsequent legal or factual developments. They represent general commentary and do not constitute legal advice.
9. Third-party links and platforms
The Website contains links to third-party websites and social media platforms provided for convenience only. We do not endorse and are not responsible for the content, availability, or practices of those websites and platforms, and your use of them is governed by their own terms and policies.
10. Disclaimer
The Website is provided on an as-is and as-available basis. While we take reasonable care in preparing and maintaining the Website, we do not warrant that its content is accurate, complete, or up to date, that the Website will be available without interruption, or that it will be free from errors or harmful components, in each case to the extent permitted by applicable law.
11. Limitation of liability
To the fullest extent permitted by the laws of the State of Kuwait, the Firm shall not be liable for any indirect or consequential loss or damage arising out of or in connection with your use of, or inability to use, the Website, or your reliance on any content published on it. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Kuwaiti law, and nothing in these Terms affects the duties we owe to our clients under an engagement letter or the applicable rules of professional conduct.
12. Privacy and cookies
Our collection and use of personal data through the Website, including our use of cookies, are described in our Privacy Policy, which we encourage you to read.
13. Changes to these Terms
We may amend these Terms from time to time by publishing the revised version on this page with an updated effective date. Your continued use of the Website after the publication of any revised Terms constitutes your acceptance of them.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be applied to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
15. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or with the use of the Website, are governed by the laws of the State of Kuwait and are subject to the exclusive jurisdiction of the courts of the State of Kuwait.
