Competition Agency Publishes Filing for Givaudan's Acquisition of 70% of Eurofragance

The Competition Protection Agency (CPA) has published a new economic concentration notice in Kuwait Al-Youm, Issue 1808, dated 13 September 2026. The filing concerns Givaudan SA (Switzerland), a manufacturer and marketer of natural and synthetic raw materials for the fragrance and flavour industry, acquiring 70% of the capital of Eurofragance SLU (Spain), which imports, exports, manufactures and distributes extracts, flavourings, perfumes and related food products.

An economic concentration is the competition-law term for a deal that gives one party control, or joint control, over another. Under Article 83 of the Executive Regulations to Competition Protection Law No. 72 of 2020, any interested party may file a reasoned objection with the CPA within 15 days of this notice, that is, by 28 September 2026, at the Agency's office on the 14th floor of Al-Hamra Tower, or online, against a fee.

Neither Givaudan nor Eurofragance has a Kuwaiti target, but the deal still crossed Kuwait's merger-control filing thresholds, most likely through the parties' sales into the Kuwaiti market, as several recent foreign-to-foreign filings before the CPA have.

WEFAQ's view: global consumer-goods and ingredients groups should keep Kuwait on their merger-control filing checklist even where a deal has no direct Kuwaiti asset, given how often turnover-based thresholds catch transactions with only indirect Kuwaiti sales.
