Kuwait Incorporates Kuwait Digital Network Company for the National Fibre PPP, With Half the Shares Held for Citizens

The Minister of State for Economic Affairs and Investment and Acting Minister of Commerce and Industry has issued Ministerial Decision No. 185 of 2026 incorporating Kuwait Digital Network Company as a Kuwaiti public shareholding company (K.S.C.P.). The decision, dated 17 September 2026, is published in Kuwait Al-Youm Issue 1810, pages A35 to A36, dated 27 September 2026, and took effect on its issue date.

Its authorised and issued capital is KD 33,190,950, in 331,909,500 shares of 100 fils each, with KD 8,297,737.500 (a quarter) paid up. The shares are split three ways: 10% to the Kuwait Authority for Partnership Projects (KAPP) on behalf of public entities, 40% to the investor, Batelco Kuwait Fiber Holding Company, and 50% to KAPP on behalf of Kuwaiti citizens. Incorporation will be completed under the Companies Law, the Capital Markets Authority Law and Public-Private Partnership Law No. 116 of 2014, and the decision records approvals from the telecoms regulator (CITRA), the Ministry of Communications and the Capital Markets Authority.

The decision does not describe the project, but the investor and the ownership split match what Bahrain's Beyon group (formerly Batelco) announced in February 2026, when KAPP selected it as winning investor for Kuwait's national fixed telecommunications network project: a 50-year PPP to design, finance, build, operate and maintain a nationwide fibre network, with investment Beyon put at more than USD 2.8 billion over the life of the agreement.

WEFAQ's view: the decision turns February's award into a company and fixes who owns what. Beyon said at the time that KAPP will offer shares to Kuwaiti citizens through an IPO; no date has been announced. Contractors, equipment suppliers and service providers interested in the network build should follow the company's procurement once incorporation is complete.
